These constitute the Guidelines and Terms of Use (the "Terms") of the social media pages (Facebook, Instagram, LinkedIn, etc.) of BAC Community Bank and its affiliates or partners (collectively, "BAC"). As used in these Terms, "we," "our," and "us" refer collectively to BAC. By using or accessing any of BAC’s social media pages, you agree to be bound by these Terms as well as all other applicable policies, guidelines and terms posted by BAC and/or the social media platform, including the social media platform's Code of Conduct and Terms of Use, each of which are expressly incorporated herein by this reference. Individuals who violate our User Guidelines are also subject to be blocked from our social media pages at the discretion of BAC. 

BAC is a proud advocate for community engagement and maintains an unwavering commitment to the freedom of speech. While we recognize the power of that freedom, we are equally committed to ensuring that our social media presence will be used in a constructive and civil manner. Please be respectful of our diverse community; before posting take a moment to read the following posting guidelines.

1. CLIENT/CUSTOMER SERVICE AND CONFIDENTIALITY

As always, we pride ourselves on providing excellent customer service. Please note, however, that our social media pages are not a substitute channel for services, products or general questions. If you are in need of assistance with any of your accounts or our products and services, please contact us at (877) 226-5820, Monday through Friday  8am-6pm or Saturday 9am-2pm -- Pacific Time, and we will be happy to assist you. If you contact us regarding any customer service related matters via our social media pages we may redirect you to other BAC channels to assist you as quickly and efficiently as possible.

Please remember that our social media pages are public and anyone can see your comments, posts and other content. As such, never disclose account or other financial information or any personal information through social media. Your privacy and confidentiality is of the utmost importance to BAC. We will never ask for your account information, social security number, or any other personal or sensitive information from you through social media. Any comments, postings or disclosures you make on social media, including without limitation, any BAC social media page, are subject to the social media platform's control, terms of use and disclosures including data use and privacy.

2. REAL-TIME POSTING AND RESPONSE TIME

In order to ensure compliance with our posting guidelines, to limit the inadvertent disclosure of private information and in an effort to protect our social media communities from fraud, BAC may choose not to allow "real-time" posting. When this is the case, we will make every effort to release proposed content for publication in a timely manner, under some circumstances posting of proposed content may be further delayed and in some cases, as outlined below, not approved for posting.

We will make every effort to respond to comments and posts in a timely manner. However, please note that our BAC social media pages are not monitored 24 hours / 7 days a week and responses will take place during normal business hours. In addition, we may not reply to every post or comment provided on our page.

3. THIRD-PARTY RELATIONSHIPS

Social media platforms are owned by a third party unaffiliated with BAC. We are not responsible for the actions or omissions of any third party (including without limitation social media platforms) or for privacy or security policies or terms of any third-party (including without limitation social media platforms) at this site or any third-party site that may be linked by this page or other social media pages. We do not endorse and are not responsible for any third-party material on this page or other social media pages, such as ads, content, products, opinions, advice, recommendations or any other material contained on third-party sites or other pages on social media. BAC does not and cannot control the actions of its social media page users, visitors or linked content or other third parties. Any and all third-party posts do not reflect the views of BAC. Nothing herein shall be deemed to create an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship of any kind between BAC and you or any other person or entity.

4. CONTENT GUIDELINES AND LIMITATION OF ACCESS

Please only post information that you know to be accurate, truthful and that you have the legal right to publish. Content submitted to our social media pages are subject to the approval of BAC based on these Terms as well as all other applicable BAC policies. We encourage and expect posts and comments to be polite and respectful and consistent with these Terms. You agree that you will not submit, upload, transmit or otherwise make available any content, comments or posts that we deem to be objectionable, including without limitation, the following:

  1. public posting of any unresolved issues between you and a BAC employee. If you have something less than positive to share, we ask that you respect the privacy of our employees by not posting any personal information about them. Feel free to contact us at 1-877-226-5820 with your comments or concerns so that we may address them confidentially.
  2. unlawful, profane, stalking, harmful, threatening, abusive, attacking, discriminatory, hateful, harassing, tortuous, denigrating, vulgar, obscene, pornographic, libelous, invasive of another's privacy, false information, rumors, inflammatory, discriminatory or otherwise objectionable or unrelated content;
  3. any content or otherwise participating in any activity that is prohibited by law in any applicable jurisdiction, including laws governing the encryption of software, data privacy or protection, the export of technology, the transmission of obscenity, copyright law, or the permissible uses of intellectual property;
  4. files that contain video, images, software, or other material protected by intellectual property or right of privacy / publicity laws, including, by way of example, copyright or trademark laws, unless you own or control the rights thereto or have received all necessary consents to submit such materials to these pages;
  5. trade secrets, or confidential or non-public information about publicly-traded securities or other financial instruments;
  6. any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  7. any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation or any self-promotion; and/or
  8. any material that contains software viruses, Trojan horses, worms, time bombs, corrupted files, or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, or that may damage or interfere with the operation of another's computer or property of another.

YOU FURTHER AGREE THAT YOU WILL NOT:

  1. attempt to gain unauthorized access to any accounts, computer systems or networks, through hacking, phishing, password mining or any other means;
  2. impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, collect or store personal data about other users in connection with the prohibited conduct and activities;
  3. violate, intentionally or unintentionally, any applicable local, state, national or international law, these Terms, or the policies and procedures of the social media platforms in use;
  4. provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
  5. use any material or information in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
  6. use or post on our social media pages if you are under the age of 13.
  7. forge headers or otherwise manipulating identifiers (including URLs) in order to disguise the origin of any materials, or deleting or altering any attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other uploaded material; and/or
  8. collect personal information about others, including e-mail addresses or other personal information.

We encourage and hope that anyone using our social media pages remains on-topic and relevant. While we always welcome ideas and ways that we might improve our customer experience as well as our social media pages, we may delete off-topic or irrelevant negative comments that do not provide a positive addition to the BAC social media experience. BAC is under no obligation to post or use any content submitted by you or anyone else and we reserve the right to refuse to post and/or remove any user content, including without limitation, the right to refuse to post or to remove the above-referenced objectionable content, comments or posts and any other content, comments or posts that we deem to be objectionable. We reserve the right to modify any content, functionality and features of BAC social media pages. Further, we may shut down this page and limit or deny access to all or part of this page at any time, for any reason, without notice, without any liability to you.

BAC has no responsibility or liability for the deletion or failure to store any data or other content maintained or transmitted by others on our social media pages. However, BAC may, in its sole discretion, preserve content and may disclose it, especially in the event it is required to do so by law or judicial or governmental mandate or as determined by us to protect the rights, property or personal safety of the public.

5. COPYRIGHT AND INTELLECTUAL PROPERTY MATTERS

You acknowledge and agree that by submitting any content to our social media pages that you warrant and represent that you are the owner of the content or otherwise have the right to use the content, including any and all intellectual property interests, in such manner. Please note that by posting such content (including without limitation comments, posts, photos, videos, ideas, text, artwork) you are granting us a non-exclusive, transferable, irrevocable, sub-licensable, royalty-free, worldwide license to use and display any content provided by you, and to permit others to use and display, for any purpose, any such content, and any ideas, concepts, know-how and techniques contained in such content. Copyright and other intellectual property rights in the BAC-provided content is owned by BAC or used by permission unless otherwise indicated. You may not remove, reverse engineer or modify any copyright, trademark, or other proprietary content or notices or infringe on any party's copyright, patent, trademark, trade secret, intellectual property, or other proprietary rights, or right of publicity or privacy. Any violation of such intellectual property rights is your sole responsibility.

6. DISCLAIMER OF LIABILITY AND INDEMNIFICATION

BAC will not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your use of our social media pages or your failure to comply with these Terms or any other applicable policies or procedures.

You shall indemnify, defend, and hold harmless BAC, and its officers, employees and agents, from any and all losses, injuries, liabilities, damages, fines, penalties, costs and expenses including reasonable attorneys' fees, resulting from claims made by any third party due to or arising out of your acts or omissions, including claims arising out of your use of BAC social media pages, your submissions, postings, or transmission on our social media pages, your violation of any policies or rules governing BAC social media pages, or your violation of any rights of another.

7. ADDITIONAL INFORMATION DISCLAIMER

BAC cannot guarantee and is not responsible or liable for the accuracy or completeness of content or information posted by users on its social media pages. BAC disclaims any and all representations and warranties, express or implied, as to user content contained on its social media pages. BAC will not be liable for any loss or injury caused in whole or in part by procuring, storing, compiling, interpreting, reporting, making available or maintaining user content.

No content or comments made by BAC, its employees, agents or any user should be understood or used as the basis of any investment or financial decision, nor should they be construed as advice, endorsements or recommendations. Our social media pages are not an offer to sell or a solicitation of any offer to buy any financial products of BAC or any other issuer or company.

8. SPECIAL GUIDELINES FOR BAC EMPLOYEE USE

If you are a BAC employee you represent, warrant and agree to follow the BAC Social Media Policy and all other applicable policies, including without limitation, those policies and guidelines relating to identification of yourself as an employee and any other restrictions imposed by banking regulations or BAC’s policies.

In an attempt to preserve the integrity of our social media community, if you work for BAC, you must disclose that you are an employee by including a phrase within your post: “I am a BAC employee. Check out what this great bank is doing!” Feel free to post using your own words, using this example as a guideline.

9. OTHER AGREEMENTS

These Terms are in addition to and do not nullify any other agreement(s) between you and BAC, including without limitation, to any agreement regarding your use of any websites maintained by BAC. Termination or modification of these Terms will not affect, or result in the termination or modification of, any such other agreements.

10. SEVERABILITY

If any provision of these Terms is held unenforceable, the validity or enforceability of the remaining provisions will not be affected, and the unenforceable provision will be replaced with an enforceable provision that comes closest to the intention underlying the unenforceable provision.

11. GOVERNING LAW

Your relationship with BAC with respect to these Terms shall be governed by the laws of the State of California without regard to its conflict of law provisions.

In the event there is deemed to be any information on our social media pages regarding services and products then such information is applicable only in jurisdictions where such services and products may lawfully be offered for sale and is void where prohibited by law. If you access our social media pages from outside of the United States, you are responsible for compliance with local, national, and international laws.

12. CHANGES

We reserve the right to add, delete or modify the features and functionality to our social media pages. Furthermore, we reserve the right to revise, update or modify these Terms or other policies at any time and without prior notice, by posting the revisions on our social media pages. These revisions will be effective as of the date posted. Your use of our social media pages following any such revisions constitutes your agreement to be bound by the revised Terms.
